COMPETITION TERMS & CONDITIONS

MTV Staying Alive Foundation (together “MTV SAF”) are inviting South African actors to audition for the upcoming production of the award-winning TV drama MTV Shuga Down South (“MTV Shuga”).

The producers of MTV Shuga are looking to cast new talent to fill a range of male and female roles in the series. These are the general terms and conditions for the MTV Shuga online auditions for any auditions submitted online (“Online Audition”) (together the “Initiative”). Filming for MTV Shuga is intended to be announced in the near future.By participating in the Initiative, you agree to be bound by these terms and conditions, which govern the relationship between you and MTV Staying Alive UK trading as the Staying Alive Foundation (“SAF”, “we”, “our” or “us”).

Please take note that only one submission per person will be taken into consideration.

If you are not contacted by the 30th November, consider your audition unsuccessful.

 Initiative Details
The Online Audition will be held between the 1st November 2022 to the 15th November 2022. You must submit a second video of yourself and post the video on the official MTV Shuga Down South Auditions Microsite: MTV Shuga Down South Season 3 Auditions – Season 3 Auditions open for MTV Shuga Down South (mtvsd3auditions.co.za) . The video must include you reading a script, available on MTV Shuga Down South Season 3 Auditions – Season 3 Auditions open for MTV Shuga Down South (mtvsd3auditions.co.za) . Internet costs may vary so entrants should check with their service provider for current charges and seek the permission of the person paying the bill before entering. One (1) entry per person. MTV SAF may make submitted Online Audition available online, at its discretion.

Eligibility Criteria
To participate in the Initiative, you must meet the Eligibility Critieria.
In addition, and in respect of the online Auditions only, you must

  • meet the Eligibility Criteria set out below;
  • All forms must be filled out completely and truthfully. If you fail to complete any form, give any false information, or fail to reveal any pertinent information you may be discounted; and
  • If you enter the Online Audition, and are called for a second round, you may be required to accurately complete a talent form (copies of which shall be available on the website mtvshuga.com) and/or any other paperwork provided as requested by MTV SAF. All forms must be filled out completely and truthfully. If you fail to complete any form, give any false information, or fail to reveal any pertinent information you may be discounted

All entrants must:

  • be a South African citizen or be eligible to work in South Africa without the requirement of a work permit;
  • on the date of entering the Initiative, be aged between 18 and upwards (and you will be required to show proof of age);
  • speak fluent English;
  • have no criminal record; and
  • be available, on reasonable notice, for filming at such location as when the confirmed dates are communicated

(the “Eligibility Criteria”).

Available Roles
There will be an opportunity for a role in MTV Shuga. MTV SAF’s panel of judges will select, in their absolute discretion, from the Initiative entries and will notify such people of their decision at on. Online Audition winners, if applicable, will be contacted via your email addresses.
If you are selected for the Role, you acknowledge and agree that you may be disqualified or substituted if:

  • we have reasonable grounds for believing that you do not meet the Eligibility Criteria or have not complied with these terms and conditions; or
  • we are not able to contact you or you fail to contact us as requested within a reasonable time.

For the avoidance of doubt, if you are offered a Role, you will not receive anything other than the opportunity to be filmed for MTV Shuga as set out in this clause. You are responsible for relevant travel and accommodation costs, spending money and any other costs or expenses you may incur in connection with the Role.
The inclusion in MTV Shuga of any footage in which you appear in connection with the Role is at our sole discretion and we give no guarantees as to screen time (if any).
If you are offered a Role, you will be required to enter a filming release prior to filming and you may be required to provide a written acknowledgement of acceptance of all these terms and conditions.

Promotional appearances
Should you be offered a Role, you agree to make yourself available (for no financial consideration) to MTV SAF for such reasonable promotional appearances, press conferences and/or photo shoots as may be required.

Release and Intellectual Property
You hereby assign, and confirm you have the right to assign, to MTV SAF all present and future intellectual property rights and related rights (including, without limitation, copyright and performer’s property rights and all like rights) in and to your appearance in films, recordings, videotapes, photographs and/or any other materials (i) created by or on behalf of MTV SAF; and (ii) created by you, at and/or in connection with the Initiatives, whether online or in person (the “Materials”).  You hereby grant all necessary consents, including, without limitation, copyright laws, rules and regulations, to MTV SAF and its licensees, successors and assigns worldwide to use and exploit the Materials worldwide in any and all media now known or hereafter discovered, without restriction, and unconditionally and irrevocably waive, in favour of MTV SAF and its licensees, successors and assigns, all moral rights, droits moral or rights of a similar nature, insofar as is legally possible,  as you now have or hereafter acquire anywhere in the world in relation to your appearance in and/or contribution to the Materials and any part thereof. All right and title in and to the Materials shall vest in MTV SAF, and MTV SAF shall be entitled to use and exploit the Materials in whole or in part as it may at its absolute discretion determine.

Behaviour
You must not swear during your participation in the Initiative or do or say anything which is obscene, defamatory, infringes any third-party rights or may damage or prejudice the interest of MTV SAF, MTV or any of their affiliates. You must not wear any gang colours or clothing which reveals any tattoos, or prominently features designer names, brand names, logos or which bears the name or likeness of any celebrity or person of repute (living or dead). If you do wear such clothing you will be required to change or cover relevant parts of such clothing prior to being permitted to audition.
We reserve the right to disqualify you from the Initiative at any time if we believe that you have or are reasonably likely to breach these terms and conditions or that your behaviour is inappropriate.

Confidentiality
If you are offered a Role you agree that you will not inform or disclose to anyone at all that you have been offered a Role until we give you permission to do so. As part of your obligations of confidentiality, you agree not to make any public announcement (including, for example, on Twitter, Facebook, other social media or any blogs) or issue any press releases relating to the Initiative until we confirm that you may do so. If you do not comply with this clause, your audition may be immediately discounted.

Social media guidelines
You confirm and promise that you shall immediately at MTV SAF’s request remove such Online Audition content as MTV SAF directs and/or any link thereto from Facebook, Instagram or Twitter and any other platform or website on which the content has been available by or on behalf of the entrant in connection with the Initiative.
If we give you permission to publicly disclose that you have been selected for a Role or otherwise comment on the Initiative, you should always follow these guidelines and any other directions we may give to you:

  • Don’t swear or use offensive language (blasphemy etc).
  • Don’t make any comments that are false or that could damage a person’s reputation eg “X is a drunk”, “Y was drugged up” “Z is a liar”.  Similarly, you should not repeat such comments even when they have been said by someone else, eg “He said she cheated on lots of guys.”
  • Don’t use any graphic or sexual descriptions or innuendos.
  • Don’t refer to other brands or advertise/promote other products.
  • Don’t make any religious or political comments.
  • Do not incite hate or write or say anything racist/sexist or otherwise likely to cause offence.
  • Do not encourage or condone violence.
  • Do not promote or glorify smoking/taking drugs/drinking alcohol.
  • When expressing an opinion make it clear that it is your personal opinion.
  • Try and be objective and always present balanced arguments – both sides of the story.
  • Don’t repeat any unsubstantiated rumours.

Changes
We reserve the right to change:

  • any of the Eligibility Criteria;
  • these terms and conditions

at any time and we will, where reasonably practicable, give you notice of such changes. We will not be liable for any such changes or for any errors in any materials or information associated with the Initiative.

Personal information
MTV SAF will be considered as a data controller in terms of the Protection of Personal Information Act 4 of 2013. Any personal information collected in connection with the Initiative, including the information in any application form or release, will be used (a) solely in connection with the Initiative (and which may include the disclosure of personal information to our affiliates and members of the MTV group); and (b) for any purpose for which you specifically opt in and will not be disclosed except where necessary in connection with the Imitative (including, without limitation, displaying a selection of audition entries on our and MTV websites) and/or for any purposes for which you have opted in. For more information on the above and your data subject rights, please see our Privacy Policy. If you give us permission to pass on your personal information to a third party then this shall no longer be the responsibility of MTV SAF and shall be subject to the privacy policy of that third party.

Miscellaneous
MTV SAF can accept no responsibility for entries lost, delayed, misdirected or undelivered. Incomplete entries will not be considered. MTV SAF shall not be responsible for technical errors in telecommunications networks, Internet access or otherwise preventing submission of an entry
MTV SAF, MTV and in each case their officers, personnel and agents disclaim all liability to the greatest extent permissible at law, for any loss you incur arising out of or in connection with the Initiative other than death or personal injury caused by our negligence and/or deceit or fraud by us.
We shall not be liable for any delay in performing or partial or total failure to perform any of our obligations under these terms and conditions if such delay or failure is caused by circumstances beyond our reasonable control including, without limitation delays (to postal services or otherwise), changes, disruptions, cancellations, diversions or substitutions howsoever caused including, without limitation, as a result of war, terrorist action or threatened terrorist action, strikes, hostilities, civil commotions, legal or regulatory changes, accidents, fire, flood or natural catastrophes. For the avoidance of doubt, you shall be solely liable for any additional costs incurred as a result.
Nothing in these terms and conditions shall restrict MTV SAF from doing anything necessary to ensure that we (and/or our affiliates) comply with our legal or regulatory obligations and we may cancel or amend the Initiative (in whole or any part thereof) if to not do so would place us in breach of applicable law or, in our reasonable opinion, impair the reputation of MTV SAF or any of our affiliated companies.
Each provision excluding or limiting liability is to be construed separately and will apply and survive even if for any reason any of the other provisions are held to be inapplicable or unenforceable in any circumstances. Each of the provisions excluding or limiting liability will remain in force notwithstanding any termination of these terms and conditions.
This Agreement shall be interpreted in accordance with South African law and you and MTV SAF hereby consent and submit to the non-exclusive jurisdiction of the South African courts (Gauteng Division, Pretoria / Gauteng Local Division, Johannesburg).

No Liability
MTV and MTV SAF, its employees, agents and sponsors of the Competition disclaim all liability to the greatest extent permissible at law, for any loss entrant or their property caused or be suffered in connection with the auditions.

General
These terms and conditions shall be governed by the laws of South Africa. All Competition entrants consent to the non-exclusive jurisdiction of the High Courts of South Africa (Gauteng Provincial Division, Pretoria / Gauteng Local Division, Johannesburg), in respect of all matters arising out of or in connection with the Competition or these terms and condition.
If any provision of these terms and conditions is found to be invalid or unenforceable by any court of competent jurisdiction, then that provision shall be severed from these terms and conditions and shall not affect the validity or enforceability of any remaining provisions.
It is not intended that any provision of these terms and conditions contravenes any provision of the Consumer Protection Act, 68 of 2008, and therefore all provisions of these terms and conditions must be treated as being qualified, if necessary, to ensure that the provisions of the Consumer Protection Act are complied with.
